Terms of Service

1. Who you are contracting with
These terms are an agreement between you (or the business you represent) and MILES KAY LTD, a company registered in England and Wales, company number 16870338, registered office 128 City Road, London, United Kingdom, EC1V 2NX (“we”, “us”). They cover the Track.Reviews website, app, Smart Review Cards and related services (the “Service”).
2. Acceptance
By creating an account, activating a card or otherwise using the Service you accept these terms. If you do not accept them, do not use the Service.
3. Eligibility and authority
You must be at least 18 and using the Service for business purposes. When you select or claim a business location you confirm you are authorised to act for that business. Selecting a public Google listing in our product is an association for routing reviews; it does not transfer ownership of the listing, and a verified owner or manager of that business may always claim or manage it with Google directly and may take over the association with us.
4. Your account
You are responsible for the accuracy of your account details, for your team members’ access, and for activity under your account. Keep your email inbox and verification codes secure and tell us promptly of any suspected unauthorised access.
5. What the Service does
The Service provides NFC and QR touchpoints, a customer-facing page that offers a public Google review or private feedback, attribution of interactions to locations, touchpoints and staff, dashboards and reports, and — on Smart plans — alerts, insights and AI-drafted reply suggestions. Features vary by plan as described on our pricing page.
6. No review gating or fake reviews
The Service must not be used to gate, filter, suppress or selectively solicit reviews. Every customer is always offered the Google option whatever they rate. You must not create, buy, incentivise or induce false or misleading reviews, write reviews on behalf of customers, or otherwise breach the policies of Google or any other review platform. Breach of this section is a material breach and may result in immediate suspension.
7. Independence from Google and other platforms
We are not affiliated with, endorsed by or acting for Google. Review platforms control their own listings, review visibility and policies, and may change them at any time. We cannot guarantee any review is published, retained, ranked or removed, and we do not guarantee any increase in reviews, ratings or ranking.
8. Customer feedback and content
Content submitted by your customers, and content you upload, remains yours. You grant us a licence to host, process and display it so we can provide the Service, including generating aggregate and anonymised analytics and benchmarks. You are responsible for having a lawful basis to collect customer feedback and contact details and for publishing testimonials only where you are entitled to. AI-drafted replies are suggestions only: you are responsible for reviewing and for anything you publish.
9. Acceptable use
You must not misuse the Service, including: unlawful, deceptive, harassing or discriminatory use; probing, scraping or overloading the platform or our third-party providers; circumventing plan limits, entitlements or usage controls; reselling access without our agreement; or using the Service to contact customers in breach of marketing or privacy law.
10. Plans, trials, billing and cancellation
Current plans, prices and trial terms are on our pricing page and form part of these terms. The free plan is available without payment. Paid Smart plans are billed in advance based on your plan and active locations. Trials of Smart functionality are software-only and time-limited; when a trial ends, the account continues on the free plan unless a paid plan is in place. You can cancel from your account settings; cancellation takes effect at the end of the paid period and, except where the law requires otherwise, fees already paid are not refundable. We may change prices with reasonable notice, taking effect at your next renewal.
11. Smart Review Cards and QR codes
Hardware you buy or receive is yours. Claimed Smart Review Cards continue to work on any plan, including the free plan; plans limit the Smart software layer rather than the cards themselves. Cards must be used only for your own genuine business locations, and included hardware is subject to fair use. Printed and self-printed QR codes remain your responsibility to deploy accurately.
12. Availability and changes
We aim for a reliable service but do not promise uninterrupted availability. We may change, add or withdraw features, and will avoid materially reducing core functionality on a paid plan without notice.
13. Suspension and termination
We may suspend or terminate access for breach of these terms, non-payment, suspected fraud or abuse, or where required by law or a third-party platform. You may stop using the Service at any time. On termination we may delete your data after a reasonable period; export what you need first.
14. Disclaimers
Except as expressly stated, the Service is provided “as is” and we exclude all implied warranties to the fullest extent permitted by law, including fitness for a particular purpose and any warranty about results, review volumes or ratings.
15. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited. Subject to that, we are not liable for loss of profit, revenue, goodwill, reputation, data or anticipated savings, or for indirect or consequential loss; and our total liability arising out of or in connection with the Service in any 12-month period is limited to the greater of the fees you paid us in the 12 months before the claim, or GBP 100. These terms are for business use, so consumer rights do not apply.
16. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your misuse of the Service, your breach of these terms (including review-platform policies), or your handling of customer data and content.
17. Data protection
Our handling of personal data is described in our privacy notice. Where we process customer feedback on your behalf, you are the controller and we act on your instructions as processor.
18. General
These terms are the whole agreement between us for the Service. If a provision is unenforceable, the rest continues to apply. We may assign these terms as part of a business transfer. No third party has rights under these terms.
19. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
